Terms of Service
The following terms apply to Subscribers in the USA :
THESE TERMS OF SERVICE (âTERMSâ) CONSTITUTE A CONTRACT BETWEEN YOU AND INTTRA LLC, a Delaware limited liability company with its principal place of business at 9600 Great Hills Trail, Suite 300E, Austin, Texas 78759 USA (âINTTRAâ) AND GOVERN THE USE OF THE SERVICE BY YOU.
These Terms are governed by and construed in accordance with the substantive laws of the State of New York, without regard to the conflict of laws rules thereof. Each of the parties irrevocably submits to the exclusive jurisdiction and venue of the courts of the U.S. District Court for the Southern District of New York and waives any objection to venue in such court. If such court lacks subject matter jurisdiction, the parties irrevocably submit to the exclusive jurisdiction and venue of the state courts of New York encompassed within New York County.
The following terms apply to Subscribers in Spain and Portugal:

These Terms are governed by and construed in accordance with Belgian law. You expressly agree to submit any dispute arising out of or in connection with these Terms and/or the Service to the exclusive jurisdiction of the Courts of Antwerp (Belgium).
The following terms apply to Subscribers in Peru:
THESE TERMS OF SERVICE (âTERMSâ) CONSTITUTE A CONTRACT BETWEEN YOU AND E2OPEN PERU SRL, having its principal place of business at Av. Juan de Aliaga Nro. 429 Dpto. 401 Urb, Orrantia del Mar, Magdalena del Mar (âAvantida Peruâ) AND GOVERN THE USE OF THE SERVICE BY YOU.
These Terms are governed by and construed in accordance with Belgian law. You expressly agree to submit any dispute arising out of or in connection with these Terms and/or the Service to the exclusive jurisdiction of the Courts of Antwerp (Belgium).
The following terms apply to Subscribers in all other countries (non-USA):
THESE TERMS OF SERVICE (âTERMSâ) CONSTITUTE A CONTRACT BETWEEN YOU AND AVANTIDA N.V, having its principal place of business at Sint-Pietersvliet 3 bus 8, 2000 Antwerp, Belgium; company registry number 0500492779 (âAvantidaâ) AND GOVERN THE USE OF TO THE SERVICE BY YOU.
These Terms are governed by and construed in accordance with Belgian law. You expressly agree to submit any dispute arising out of or in connection with these Terms and/or the Service to the exclusive jurisdiction of the Courts of Antwerp (Belgium).
The following terms apply to all users:
âService Providerâ means either INTTRA, Avantida, Avantida Spain, or Avantida Peru whichever is applicable to You based on the above terms, and its affiliates. In these Terms, Service Provider may also be referred to through the use of âWeâ or âOur.â
By accepting these Terms, using the Service, or authorizing or permitting any person or Entity to use the Service, You agree to be bound by these Terms. If You are entering into these Terms on behalf of a company, organization, or another legal entity (an âEntityâ), You are agreeing to these Terms for that Entity and expressly representing and confirming to Service Provider that You have the authority to bind such Entity and its affiliates to these Terms. If you do not have such authority, or if You do not agree to these Terms, you are prohibited from using the Service and should immediately exit.
Even if other terms (including but not limited to Your terms) should apply to the provision of the Service and/or any agreement between You and the Service Provider, these Terms remain applicable in a supplementary way. Any and every aspect of Your agreement with the Servicer Provider which is not governed by the applicable terms, are governed by these Terms.
You recognize and declare to accept that Your re-use of any container is governed by the terms and conditions of the carrier who owns the re-used container and/or any other agreement between said carrier and the User/Subscriber.
- DEFINITIONS
(a) Account: means all accounts or instances created by or on behalf of a Subscriber to use the Service.
(b) Other Services: means third party products, applications, services, software, products, networks, systems, directories, websites, databases, and information which the Service links to, or which You may connect to or enable in conjunction with the Service, including, without limitation, certain other services which may be integrated directly into Your Service.
(c) Service: means the cloud applications and underlying services provided by Service Provider including access to the Site. Any updates or enhancement and any new or modified features added to or augmenting the Service (âUpdatesâ) are also subject to these Terms. We reserve the right to deploy Updates at any time.
(d) Site: means platform.avantida.com, and all other websites owned or operated by Service Provider or its affiliates through which Service Provider or its affiliates provide the Service.
(e) Software: means software provided by Service Provider or its affiliates (access through the Site) that allows a Subscriber and its Users to use any functionality in connection with the Service.
(f) Subscriber: means the individual or Entity registering for or using the Service.
(g) User: means those individuals and Entities which are authorized by Subscriber to use the Service through Subscriberâs Account.
(h) You, Your, or related capitalized terms herein refer to the Subscriber.
(i) Your Data:Â means all electronic data, text, messages, or other materials submitted to the Service by You in connection with Your use (and Your Userâs use) of the Service.
- LICENSE; ACCEPTABLE USE; USE REQUIREMENTS
2.1Â During the period that You have use of the Service, You are obligated to comply with these Terms. You have the right to use the applications of the Service for which You have registered.
2.2 A high speed Internet connection is required for proper transmission of the Service. You are responsible for procuring and maintaining the network connections that connect Your network to the Service, including, but not limited to, browser software that supports protocols required to use the Service, including Secure Socket Layer (SSL) protocol or other protocols, and to follow procedures for accessing services that support such protocols. We are not responsible for notifying You of any upgrades, fixes, or enhancements to any such software or for any compromise of data, including Your Data, transmitted across computer networks or telecommunications facilities (including but not limited to the Internet) which are not owned, operated, or controlled by Service Provider or its affiliates. We assume no responsibility for the reliability or performance of any connections as described in this section. You are responsible for obtaining, processing, and maintaining all computers, hardware and software, internet services and all other equipment and/or services which are necessary for Your use of the Service.
2.3 Notwithstanding and without prejudice to the other provisions in these Terms, the internet is not a safe medium, can be interrupted and/or be subject to (in)voluntary violations of security and privacy. The availability of the Service can thus be subject to influences due to a variety of factors that are beyond the control of the Service Provider. It is possible the Service will not continuously be safe or privately accessible.
2.4Â You agree not to:
(a) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share, or otherwise commercially exploit or make the Service available to any third party, except in furtherance of Your internal business purposes as expressly permitted by these Terms. For the purpose of these Terms, no license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share, or other exploitation will be considered to be permitted except when expressly agreed to by the Service Provider, prior and in writing to any exploitation;
(b) use the Service to process data on behalf of any third party other than ocean carriers ;
(c) modify, adapt, or hack the Service, or otherwise attempt to gain unauthorized use of the Service or related systems or networks;
(d) falsely imply any sponsorship or association with Service Provider,
(e) use the Service in any unlawful manner, including but not limited to violation of any personâs privacy rights;
(f) use the Service to send unsolicited or unauthorized junk mail, spam, pyramid schemes, or other forms of duplicative or unsolicited messages;
(g) use the Service to store or transmit files, materials, data, text, audio, video, images, or other content that infringes on a third partyâs intellectual property rights;
(h) use the Service in any manner that interferes with or disrupts the integrity or performance of the Service and its components;
(i) use the Service to knowingly post transmit, upload, link to, send, or store any viruses, malware, Trojan horses, time bombs, or any other similar harmful software (âMalicious Softwareâ);
(j) use or try to use the Service in violation of these Terms;
(k) attempt to decipher, decompile, reverse engineer, or otherwise discover the source code of any software making up the Service; and/or
(l) use the Service to store or transmit any âprotected health informationâ as that term is defined in U.S. 45 C.F.R. 160.103.
2.5 Subscriber is responsible for compliance with the provisions of these Terms by any User and for any and all activities that occur under their Account, as well as for all Your Data. Without limiting the foregoing, You are solely responsible for ensuring that use of the Service to store and transmit Your Data is compliant with applicable laws and regulations. You also maintain all responsibility for determining whether the Service or the information generated thereby is accurate or sufficient for Your purposes. Use of the Service is restricted to the specified number of individual Users permitted under Your Account to the Service. You agree and acknowledge that You will be identified by a unique username and password (âLoginâ) and that a Login may only be used by You. Any Users authorised by You to use Your Account will be assigned a separate unique username and password. You and Users are responsible for maintaining the confidentiality of all Login information for Your Account. You will fully indemnify the Service Provider for any claim, third party claim, unauthorized use made of either Your Login or Your Account, and any damages that might incur as a result of this claim, third party claim or unauthorized use. Furthermore, if You are expressly permitted to commercially exploit the Software or the Service, You are liable for all damages that might result from this exploitation. You will fully indemnify Service Provider for said damages.
2.6 In addition to the rights set forth in Section 7, Service Provider reserves the right, in its reasonable discretion, to temporarily suspend Your use of the Service:
(a) during planned downtime for Updates, upgrades, and maintenance to the Service of which Service Provider will use commercially reasonable efforts to notify You in advance (âPlanned Downtimeâ);
(b)Â during any unavailability caused by circumstances beyond Our reasonable control, such as, but not limited to, acts of God, acts of government, acts of terror or civil unrest, technical failures beyond Our reasonable control (including, without limitation, inability to access the Internet), or acts undertaken by third parties, including without limitation, distributed denial of service attacks; or
(c)Â if We suspect or detect any Malicious Software connected to Your Account or use of the Service.
- DATA PRIVACY AND CONFIDENTIALITY
3.1 All information disclosed by You to Service Provider or by Service Provider to You which is in tangible form and labelled âconfidentialâ (or with a similar legend) or which a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure will be considered âConfidential Information.â For the purpose of these Terms, Your Data will be deemed Confidential Information. Notwithstanding the foregoing, Confidential Information does not include information that: (a) was already known to the receiving party at the time of disclosure by the disclosing party; (b) was or is obtained by the receiving party by a third party under an obligation of confidentiality with respect to such information; (c) is or becomes generally available to the public other than by violation of these Terms; or (d) was or is independently developed by the receiving party without use of the disclosing partyâs Confidential Information.
3.2 Subject to the express permissions of these Terms, the Subscriber and Service Provider will protect each otherâs Confidential Information from unauthorized use, access, or disclosure in the same manner as it protects its own Confidential Information, but with no less than a reasonable degree of care. Except as expressly permitted herein, Confidential Information may only be used to exercise the rights and perform the obligations under these Terms. We may disclose Your Confidential Information to Our respective employees, representatives, and agents who need to know such Confidential Information for such purposes and who are bound to maintain the confidentiality of, and not misuse, such Confidential Information.
3.3 Service Provider will maintain commercially reasonable safeguards to protect the security, confidentiality, and integrity of Your Data. These safeguards include encryption of Your Data in transmission, except for certain Other Services that do not support encryption, which You may link to through the Service at Your election. Service Providerâs compliance with the provisions of this Section 3.3 will be deemed compliance with Our obligations to protect Your Data as set forth in Section 3.2.
3.4  Service Provider and Our respective service providers may access Your Account and to use, modify, reproduce, distribute, display, and disclose Your Data solely to the extent necessary to provide the Service, including, without limitation, in response to Your support requests. Any third-party service providers We utilize will only be given access to Your Account and Your Data as is reasonably necessary to provide the Service and will be subject to confidentiality obligations. Service Provider may also access or disclose information about You or Your Account, including Your Data, in order to (a) comply with the applicable laws or regulations, or respond to lawful requests or legal process; and (b) protect Service Providerâs or its customersâ or partnersâ rights or property, including enforcement of these Terms or other policies associated with the Service. Notwithstanding the foregoing, Subscriber hereby grants Service Provider and its affiliates a non-exclusive, perpetual, irrevocable, worldwide right and license to de-identify, aggregate, and anonymize, Your Data derived from the operation and use of the Services, in whole or in part, to incorporate it in other works in any form, media, or technology (âStatisticsâ) for Service Providerâs business purposes and to make available to others, provided that Service Provider does not reveal the identity of the Subscriber or its Users. Statistics may include, for example, transaction volumes and revenue volumes. Statistics will not include personal data.
3.5 We collect certain information about You as well as Your devices, computers, and use of the Service. We use, disclose, and protect this information as described in Our Privacy Policy, available at: https://www.e2open.com/privacy-policy, which is incorporated into the Terms.
3.6 As of the starting date of the agreement between You and the Service Provider, the Service Provider will be entitled to refer to you as Our customer in its commercial and marketing communications, documentation, and client listings, as a sales reference, as well as on the Site.
3.7 You have the right to publish publications, on paper or on a website, blog, forum, or any other medium, mentioning or elaborating on either the Service Provider, the agreement, or any other circumstances related to your cooperation with the Service Provider. This right is limited by the Service Providerâs right to prohibit any further publishing as a result of abuse. Circumstances of abuse include but are not limited to false statements, fake news, slander, negative publicity, deceptive or misleading communications, to be understood in the broadest way possible, and generally any and all communications that might harm or negatively impact the name, reputation, and overall opinion concerning the Service Provider. The right of the Service Provider to prohibit further publishing is without prejudice to any other remedy available at law or in equity.
- INTELLECTUAL PROPERTY RIGHTS
4.1 Each party retains all rights, title, and interests in and to its respective patents, inventions, copyrights, trademarks, domain names, trade secrets, know-how, and any other intellectual property and/or proprietary rights (collectively, âIntellectual Property Rightsâ). The limited rights granted to You to use the Service under these Terms do not convey any additional rights in the Service, or in any Intellectual Property Rights associated therewith. Subject only to the limited rights to use the Service as expressly stated herein, all rights, title, and interests in and to the Service and all hardware, software, and other components of or used to provide the Service, including all related intellectual property rights, will remain with and belong exclusively to Service Provider and its affiliates. Service Provider and its affiliates will have a royalty-free, worldwide, transferable, sub-licensable, irrevocable, and perpetual license to incorporate into the Service or otherwise use any suggestions, enhancement requests, recommendations, or other feedback We receive from You. Service Provider and its products and service names, and logos used or displayed on the Service are registered or unregistered trademarks of Service Provider or its affiliates (collectively, âMarksâ), and You may only use such Marks to identify Yourself as a User; provided You do not attempt, now or in the future, to claim any rights in the Marks, degrade the distinctiveness of the Marks, or use the Marks to disparage or misrepresent Service Provider (or its affiliates), its services, or products.
- THIRD PARTY SERVICES
5.1 If You enable, use Other Services, the same is governed solely by the terms and conditions of these Other Services. We do not endorse, agree, are not responsible or liable for, and make no representations as to any aspect of such Other Services, including, without limitation, their content or the manner in which they handle data (including Your Data) or any interaction between You and the provider of such Other Services. You irrevocably waive any claim against Service Provider with respect to such Other Services. Service Provider is not liable for any damage or loss caused or alleged to be caused by or in connection with Your enablement, use of any such Other Services, or Your reliance on the privacy practices, data security processes or other policies of such Other Services.
5.2 You may be required to register for or log in to such Other Services on their respective websites. By enabling any Other Services, You are expressly permitting Service Provider to disclose Your Login as well as Your Data as necessary to facilitate the use or enablement of such Other Service.
- BILLING AND PAYMENTS
6.1Â Registration to the Service is free of charge. The use of the Service is subject to a Pay Per Use (PPU) system. Any use of the Service is preceded by your uploading of the contractually agreed credits or vouchers into Your Account after which Service Provider will issue an invoice; these credits or vouchers will be debited from Your Account after completion of each Service. At the time You register, You will select a base currency from the list of supported currencies. Your Account and all of Your credits, vouchers, and debits will be denominated in this base currency. Service Provider reserves the right to require You to select a certain base currency based on Your use or otherwise limit the choices of base currencies available to You. You are solely responsible for the exchange cost that may rise with respect to a payment You make to or receive from the Service Provider.
6.2Â Credits are payable upon Your request; provided that You may only request a credit pay out once every 60 days. Once You request a refund, Service Provider will set aside those funds so that You will no longer be able to access them within Your Account and will process the payment. You should receive payment within 30 to 60 days after this request via a transfer to the bank account information in Service Providerâs records at the time You made the request. The transfer will be in the base currency that Your Account is denominated in and for the amount requested on the day of the request, less an administrative fee as follows (all charges excluding tax or VAT):
(a) for US Subscribers and Subscribers in Peru who request a full refund due to closing the Account or termination of business, a $35 administrative fee;
(b) for US Subscribers and Subscribers in Peru who request a partial/intermediate refund, a $35 administrative fee plus a 5% transaction fee;
(c) for Subscribers in Spain and all other non-US Subscribers who request a full refund due to closing the Account or termination of business, â¬25 administration fee and
(d) for Subscribers in Spain and all other non-US Subscribers who request a partial/intermediate refund, â¬25 administration fee plus a 5% transaction fee.
Administrative Fees will be converted to base currency as necessary in accordance with the principles under section 6.6. Vouchers are non-refundable and expire ninety (90) days after purchase.
6.3Â Unless otherwise stated, Our charges do not include any taxes, levies, duties or similar governmental assessments, including value-added, sales, use, or withholding taxes assessable by any local, state, provincial, or foreign jurisdiction (âTaxesâ). You are responsible for paying Taxes except those assessable against Service Provider based on its income. We will invoice You for such Taxes if We believe We have a legal obligation to do so and You agree to pay such Taxes if so invoiced. For our EU and other non-US Subscribers, Our charges include VAT where VAT is required to be assessed.
6.4 . Service Provider uses a third-party intermediary to manage payments made by You to Service Provider and this intermediary is not permitted to store, retain, or use Your billing information except to process Your payments . Your payment information will not be stored by Service Provider or the third-party intermediary. You will receive an invoice from Service Provider upon confirmation from the third-party intermediary of receipt of payment.
6.5Â Notwithstanding Section 6.1 regarding all use of the Services requiring spending credits, in certain instances, You may be presented with an offer through the Service whereby You would receive a credit to Your Account instead of Service Provider debiting Your Account (âCredit Transactionsâ). You are only eligible to participate in Services that would result in a Credit Transactions and only eligible to receive credits from Credit Transactions if You agree to the self-billing terms as set forth in Section 6.7.
6.6Â In case a currency conversion is required, the Service Provider will perform the conversion at the bank rates applicable on the transaction date plus a currency conversion premium paid to Service Provider. Any conversion will be made at Your expense and You declare to accept said exchange costs.
6.7Â You may wish to participate in certain Credit Transactions where, to facilitate such transactions, You and Service Provider agree to self-billing. Self-billing is a process where, for the convenience of You and Service Provider, Service Provider will issue invoices on Your behalf for Credit Transactions. The process may have certain VAT or similar sales tax implications for You. You hereby agree to the following self-billing terms and conditions:
(a)Â As self-biller, Service Provider will: (i) issue self-billed invoices for all Credit Transactions performed by you until the expiry or termination of these Terms showing Your name, address and, where VAT is applicable, Your VAT registration number, together with all the other details which constitute a full VAT invoice; (ii) make self-billed invoices available to You via the Site; and (iii) amend the self-billing accordingly if You inform us that Your VAT registration number changed;
(b)Â You will: (i) accept invoices raised by Service Provider on Your behalf until expiry or termination of these Terms; (ii) not raise invoices for the Credit Transactions covered by these Terms; (iii) where VAT is applicable, notify Service Provider immediately if You change Your VAT registration number, cease to be VAT registered, or sell your business, in whole or part; (iv) notify Service Provider within 30 of any dispute in relation to the self-bill invoice, after which time all invoices are deemed irrevocably accepted by You; and (v) be liable for all costs, claims, damages, and expenses incurred by Service Provider directly or indirectly arising out of or in connection with Your breach of this section 6.7;
(c)Â Your VAT registration information is true and correct;
(d)Â All self-billed invoices are inclusive of any VAT or other applicable sales taxes;
(e)Â Service Provider may outsource the self-billing process to a third party at its discretion and, in such case, Service Provider will only inform You by posting a notice of such on the Site; and
(f)Â Notwithstanding any other provision of the Agreement, either party may disclose these self-billing terms to any tax authority upon the demand of any tax authority with the authority to require such disclosure.
- TERMINATION
7.1 Either You or Service Provider can terminate Your Account and use of the Service immediately by notice in writing to the other party.
7.2Â If You terminate Your Account, We reserve the right to delete all Your Data in the normal course of operation. Once deleted, Your Data cannot be recovered and Service Provider has no liability for data-loss if You change Your mind.
7.3 Service Provider reserves the right to modify, suspend, or terminate (i) the Service (or any part thereof); (ii) Your Account; or (iii) Your rights to use the Service if:
(a) We believe that You have violated these Terms or any other obligation between the parties;
(b) requested or mandated by a government agency;
(c) any unexpected technical or security issue or problem arises;
(d) You participate in fraudulent or illegal activities or breach of section 15 or are suspected thereof;
(e) You have filed for bankruptcy, have been summoned before a court with respect to Your bankruptcy, have lost free disposition over Your personal assets, or have made an appeal on book XX of the Belgian Code of Economic Law (or an equivalent procedure in Your legal jurisdiction);
Any such modification, suspension, or termination will be made by Service Provider, at its sole discretion.
7.4Â We reserve the right to remove, disable, and/or discard any of Your Data at Our sole discretion under any circumstance provided for in Section 7.3.
7.5 Unless legally prohibited from doing so, Service Provider will use commercially reasonable efforts to contact You directly via email to notify You when taking any of the foregoing actions. This notification will identify, when reasonably and commercially required, the reason for said actions. Service Provider will not be liable to You or any other third party for any damages that may result from or arise out of such modification, suspension, or termination of Your Account and/or use to the Service or any removal or disablement of Your Data.
7.6Â We will report any suspected fraudulent, abusive, or illegal activity by You to law enforcement authorities, at Our sole discretion.
- DISCLAIMER OF WARRANTIES
8.1 Notwithstanding Section 2, the Service, including all server and network components is provided on an âas isâ and âas availableâ basis, without any warranties of any kind to the fullest extent permitted by law. Service Provider expressly disclaims any and all warranties, whether express or implied, including, but not limited to, any implied warranties of merchantability, title, fitness for a particular purpose, and non-infringement. Service Provider does not warrant that the Service will be uninterrupted, timely, secure, error-free, or free from viruses or other Malicious Software. No information or advice obtained by You from the Service Provider or through the Service creates any warranty.
- LIMITATION OF LIABILITY
9.1 Service Provider is an intermediary who facilitates the Service and in no way whatsoever can be held liable for any damages (including but not limited to extra costs) which result from the use of the services provided by the adjoined ocean carriers to the Subscriber. Service Provider is in no way liable for damages including but not limited to damages to containers, transportation to wrong addresses, or costs to be made with regard to customs clearance.
9.2Â Under no circumstances and under no legal theory (whether in contract, tort, negligence or otherwise) will We, Our affiliates, officers, directors, service providers, or licensors be liable to You or any third party for loss or damage resulting or arising from negligence or acts or omissions of Our agents or employees. This includes (but is not limited to) any direct, indirect, incidental, special, consequential, or other similar damages, including lost profits, lost sales or business, lost data, business interruption or any other loss incurred by User or any third party in connection with these Terms or the Service, regardless of whether such party has been advised of the possibility of or could have foreseen such damages.
9.3Â Notwithstanding anything to the contrary herein, Service Providerâs aggregate liability to You or any third party arising out of these Terms or otherwise in connection with any subscription to, or use or employment of the Service, will in no event exceed the PPU charges paid by You during one (1) month prior to the first event or occurrence giving rise to such liability. The essential purpose of this Section 9.3 is to allocate the risks between the parties and Service Provider has relied on these limitations in determining whether to provide You the rights to use the Service at the offered price.
9.4Â If the exclusion of implied warranties or limitation of liability for incidental or consequential damages is not allowed, the Service Providerâs liability will be limited to the greatest extent permitted by law.
9.5Â Any claim or cause of action arising out of or related to Your use of the Services or these terms must be asserted within one year after such claim or cause of action arose. You expressly waive any right You may otherwise have under any statute or law for any claims not made within such one-year period.
- INDEMNIFICATION
10.1 You will indemnify, defend, and hold Service Provider harmless against any claim brought by a third party against Service Provider arising from or related to (i) Your breach of these Terms; (ii) Your use of the Services; and/or (iii) matters which You have agreed to be responsible for pursuant to these Terms. Service Provider will reasonably notify You of such claims. You will allow Service Provider to be closely involved in Your defense against said claims and keep the Service Provider up-to-date with respect to material developments concerning said claims.
- ASSIGNMENT AND REVISIONS
11.1Â No right or license under these Terms may be assigned or otherwise transferred by You without Service Providerâs prior written consent, except as expressly set forth herein. Upon written notice to Service Provider, You may assign, or otherwise transfer these Terms to any affiliate which controls, is controlled by, or is under common control with You, or to the surviving entity as a result of a merger, acquisition, or reorganization of all or substantially all of Your assets or stock provided such entity is not deemed by Service Provider to be a direct competitor of Service Provider and agrees in writing it will be bound by these Terms. Subject to the foregoing, these Terms will bind and inure to the benefit of the successors and assigns of You and Service Provider. We may, without Your consent, assign Our agreement with You provided that any such assignee or successor agrees to fulfil its obligations pursuant to these Terms.
11.2 If these Terms are amended by Us, the amended version will supersede prior versions. We will notify You of any such amendment by posting such notice on the Site and/or by email. Your continued use of the Service following the effective date of any such amendment will be relied upon by Service Provider as Your consent to any such amendment.
- PARTIAL NULLITY AND DIVISIBILITY
12.1Â The parties are convinced that all Sections and provisions of these Terms are valid and legally binding in all their aspects. If, however, one of the Sections of these Terms are void or invalid, this invalidity or nullity of that Section does not affect the validity of other provisions of these Terms.
12.2Â Clauses that are effected by nullity or invalidity, remain binding to the extent thereof which is legally allowed. Both parties undertake to replace said Sections with Sections which, to the nearest extent possible, correspond with the agreement between the parties
- SURVIVAL OF TERMINATION
13.1 Sections 2, 3, 4, 9, 10, and 11 will survive any termination of these Terms. Termination will not limit Your or Service Providerâs liability for obligations accrued as of such termination or for any breach of these Terms.
- NOTICE
14.1 All notices to be provided by Service Provider to You under these Terms may be delivered in writing (i) by mail to the contact mailing address provided by You on any Form; or (ii) by electronic mail to the email address provided for Your Account. All notices to be provided by You to us have to be in writing by mail to Service Providerâs address, as set forth at the beginning of these Terms. All notices will be deemed to have been given immediately upon delivery by email, or three (3) working days after post-stamp. In case of international correspondence, notices will be deemed to be received five (5) working days after post-stamp.
- ANTI-CORRUPTION AND COMPLIANCE
15.1Â You will comply with, and ensure that all Your affiliates comply with:
(a) all national or international laws and regulations, which are applicable to the provision or use of the Services, including, those relating to export control, terrorism, anti-money laundering, occupational health and safety, environmental matters, wages, working hours and conditions of employment, discrimination, data protection, and privacy; and
(b) all applicable anti-corruption laws and regulations, including without limitation the US Foreign Corrupt Practices Act and the UK Bribery Act of 2010; and
15.2Â Each party undertakes and warrants to the other party that it and its officers, directors, shareholders, employees, agents and other intermediaries, and any other person acting directly or indirectly on its behalf, will not, directly or through third parties, promise, give, attempt to give, or approve or authorize the giving of anything of value to any person or any entity for the purpose of:
(a) securing any improper advantage for either party;
(b) inducing or influencing a public official improperly to act or refrain from acting in order for either party to obtain or retain business, or to secure the direction of business to either party; and/or
(c) inducing or influencing a public official to use his/her influence with any government or public international organization for such purpose.
- GENERAL PROVISIONS
16.1Â These Terms constitute the entire agreement between the parties with respect to the subject matter of these Terms and replace and supersede all prior verbal understandings, or written communications or representations, if any, between the parties regarding this subject matter.
16.2Â The waiver by either party of a breach or right under these Terms will not constitute a waiver of any other or subsequent breach or right. No waiver of any provision of these Terms will be effective unless it is in a signed writing, and no such waiver will constitute a waiver of any other provision(s) or of the same provision on another occasion.
16.3Â The parties are independent contractors. These Terms do not create, nor will they be construed as if to create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship among the parties. Each party agrees to bear its own costs relating to the Service.
16.4. Neither the Service Provider nor You will be liable to the other party for any conditions outside of its control including, but not limited to, failure of a portion of the power grid, failure of the Internet, acts of God, strikes and other labour disputes, natural disasters such as floods, earthquakes, typhoons and epidemics, wars, government acts, terrorist acts, riots, revolutions, sabotage or other events of a magnitude or type for which precautions are not generally taken in the industry.
16.5. In case exigent circumstances rise that comprise a major impact on the collaboration between the parties, the parties will re-examine the present Terms and replace the impacted Sections.
16.6Â These Terms were drafted, negotiated, and entered into by the parties in English. Notwithstanding the translation of these Terms into any other language by any party for convenience or any other purpose, the English text governs and controls.

Las condiciones que se estipulan a continuación son de aplicación a los Suscriptores ubicados en los EE. UU.:
LAS PRESENTES CONDICIONES DE SERVICIO (las «CONDICIONES») SON CONSTITUTIVAS DE UN CONTRATO ENTRE USTED E INTTRA LLC, una sociedad de responsabilidad limitada (limited liability company) de Delaware con sede comercial principal sita en 9600 Great Hills Trail, Suite 300E, Austin, Texas 78759, EE. UU. («INTTRA»), Y REGULAN EL USO DEL SERVICIO POR PARTE DE USTED.
Las presentes Condiciones se rigen por el Derecho sustantivo del Estado de Nuevo York y deben interpretarse con arreglo al mismo, haciendo caso omiso de sus disposiciones en materia de conflicto de fueros. Ambas partes se someten con carácter irrevocable a la competencia y jurisdicción exclusivas de los juzgados y tribunales dependientes del Tribunal de Distrito de los Estados Unidos de América para el Distrito Sur de Nueva York, y renuncian a toda objeción que puedan formular contra la radicación del fuero competente en dicho tribunal. En el supuesto de que dicho tribunal carezca de competencia en razón de la materia, las partes se someten con carácter irrevocable a la competencia y jurisdicción exclusivas de los juzgados y tribunales estatales de Nueva York incluidos dentro del Condado de Nueva York.
Las condiciones que se estipulan a continuación son de aplicación a los Suscriptores ubicados en España y Portugal:
LAS PRESENTES CONDICIONES DE SERVICIO (las «CONDICIONES») SON CONSTITUTIVAS DE UN CONTRATO ENTRE USTED Y AVANTIDA e-LOGÃSTICA SL, una sociedad con sede comercial principal sita en Calle Hermosilla 64, 28001 Madrid, España («Avantida España»), Y REGULAN EL USO DEL SERVICIO POR PARTE DE USTED.
Las presentes Condiciones se rigen por el Derecho belga y deben interpretarse con arreglo al mismo. Usted se compromete expresamente a someter cualquier controversia que pueda derivarse de o en relación con las presentes Condiciones y/o el Servicio a la competencia exclusiva de los juzgados y tribunales de Amberes (Bélgica).
Las condiciones que se estipulan a continuación son de aplicación a los Suscriptores ubicados en Perú:
LAS PRESENTES CONDICIONES DE SERVICIO (las «CONDICIONES») SON CONSTITUTIVAS DE UN CONTRATO ENTRE USTED Y E2OPEN PERU SRL, una sociedad con sede comercial principal sita en Av. Juan de Aliaga N.º 429, Dpto. 401, Urb. Orrantia del Mar, Magdalena del Mar («Avantida Perú»), Y REGULAN EL USO DEL SERVICIO POR PARTE DE USTED.
Las presentes Condiciones se rigen por el Derecho belga y deben interpretarse con arreglo al mismo. Usted se compromete expresamente a someter cualquier controversia que pueda derivarse de o en relación con las presentes Condiciones y/o el Servicio a la competencia exclusiva de los juzgados y tribunales de Amberes (Bélgica).
Las condiciones que se estipulan a continuación son de aplicación a los Suscriptores ubicados en todos los demás paÃses (fuera de los EE. UU.):
LAS PRESENTES CONDICIONES DE SERVICIO (las «CONDICIONES») SON CONSTITUTIVAS DE UN CONTRATO ENTRE USTED Y AVANTIDA N.V, una sociedad con sede comercial principal sita en Sint-Pietersvliet 3 bus 8, 2000 Amberes, Bélgica, inscrita en el Registro Mercantil con el número 0500492779 («Avantida»), Y REGULAN EL USO DEL SERVICIO POR PARTE DE USTED.
Las presentes Condiciones se rigen por el Derecho belga y deben interpretarse con arreglo al mismo. Usted se compromete expresamente a someter cualquier controversia que pueda derivarse de o en relación con las presentes Condiciones y/o el Servicio a la competencia exclusiva de los juzgados y tribunales de Amberes (Bélgica).
Las condiciones que se estipulan a continuación son de aplicación a todos los usuarios:
«Proveedor del Servicio» significa INTTRA, Avantida, Avantida España o Avantida Perú en función de las Condiciones que le sean de aplicación a Usted de acuerdo con lo ya indicado, asà como sus respectivas filiales. En las presentes Condiciones, podrá hacerse referencia asimismo al Proveedor del Servicio utilizando los pronombres «Nosotros» o «Nuestro/a(s)».
Al aceptar estas Condiciones, utilizar el Servicio, o autorizar o permitir que cualquier persona o Entidad utilice el Servicio, Usted está accediendo a quedar vinculado por las presentes. En caso de que Usted suscriba las presentes Condiciones en representación de una sociedad, organización u otra entidad jurÃdica (una «Entidad»), las acepta por cuenta de dicha Entidad y manifiesta y confirma de manera expresa ante el Proveedor del Servicio que Usted ha sido facultado para vincular tanto a dicha Entidad como a sus filiales a las Condiciones. En caso de que no posea dicha facultad o no acepte las presentes Condiciones, se le prohÃbe utilizar el Servicio y deberÃa salir inmediatamente.
Aunque existan otros términos y condiciones (incluidos, a tÃtulo enunciativo, los Suyos propios) que sean de aplicación a la prestación del Servicio y/o un eventual contrato entre Usted y el Proveedor del Servicio, las presentes Condiciones seguirán siendo aplicables con carácter adicional. Todos y cada uno de los aspectos de Su contrato con el Proveedor del Servicio que no estén regulados por las correspondientes disposiciones contractuales se regirán por las presentes Condiciones.
Usted manifiesta y reconoce su aceptación de que cualquier reutilización por Su parte de contenedores se regirá por los términos y condiciones del transportista propietario del contenedor reutilizado y/o por el eventual contrato que pueda existir entre dicho transportista y el Usuario/Suscriptor.
- DEFINICIONES
(a) Cuenta: significa todas las cuentas o instancias creadas por el Suscriptor o en su nombre para utilizar el Servicio.
(b) Otros servicios: significa cualesquier productos, aplicaciones, servicios, elementos de software, redes, sistemas, directorios, sitios web, bases de datos e informaciones de terceros con los que el Servicio esté vinculado o que Usted pueda conectar al Servicio o activar conjuntamente con el mismo, con inclusión, a tÃtulo enunciativo, de determinados otros servicios que puedan estar directamente integrados en Su Servicio.
(c) Servicio: significa las aplicaciones de nube y los servicios subyacentes prestados por el Proveedor del Servicio, incluido el acceso al Sitio. Estarán asimismo sujetas a las presentes Condiciones las eventuales actualizaciones o mejoras del Servicio, asà como las caracterÃsticas nuevas o modificadas que puedan añadirse al Servicio o complementarlo (las «Actualizaciones»). Nos reservamos el derecho de desplegar Actualizaciones en cualquier momento.
(d) Sitio: significa platform.avantida.com y todos los demás sitios web poseÃdos o explotados por el Proveedor del Servicio o sus filiales a través de los cuales presten el Servicio.
(e) Software: significa el software suministrado por el Proveedor del Servicio o sus filiales (accesible a través del Sitio) para permitir a un Suscriptor y sus Usuarios utilizar cualquier función relacionada con el Servicio.
(f) Suscriptor: significa la persona fÃsica o Entidad que se registre en el Servicio o lo utilice.
(g) Usuario: significa aquellas personas fÃsicas y Entidades que sean autorizadas por el Suscriptor a utilizar el Servicio mediante la Cuenta del Suscriptor.
(h) Usted, Le, Su(s) y Suyo(s), u otros términos relacionados con mayúscula inicial utilizados en la presente, hacen referencia al Suscriptor.
(i) Sus datos: significa todos los datos electrónicos, textos, mensajes u otros materiales enviados al Servicio por Usted en relación con Su uso del Servicio (y el de Sus Usuarios).
- LICENCIA; USO ACEPTABLE; REQUISITOS DE USO
2.1 Durante todo el periodo en que Usted pueda utilizar el Servicio, estará Usted obligado a ajustarse a las presentes Condiciones. Tiene derecho a utilizar las aplicaciones del Servicio en relación con las cuales se haya registrado.
2.2 Para la transmisión adecuada del Servicio se requiere una conexión a Internet de alta velocidad. Usted se responsabiliza de proporcionar y mantener las conexiones de red que conecten Su red al Servicio, incluido, a tÃtulo enunciativo, un software de navegación web que sea compatible con los protocolos requeridos para utilizar el Servicio, como por ejemplo el protocolo Secure Socket Layer (SSL) u otros, asà como de seguir procedimientos de acceso a los servicios que sean compatibles con dichos protocolos. No asumimos responsabilidad alguna en el sentido de notificarle a Usted de las mejoras, correcciones o actualizaciones que puedan introducirse en dicho software, como tampoco de cualesquier datos que puedan haberse visto comprometidos, incluso cuando se trate de Sus datos, durante su transmisión por redes informáticas o instalaciones de telecomunicaciones (por ejemplo, a tÃtulo enunciativo, Internet) que no sean propiedad del Proveedor del Servicio o sus filiales ni explotadas o controladas por ellos. No nos responsabilizamos de la fiabilidad ni del correcto funcionamiento de las conexiones a que se hace referencia en esta cláusula. Usted se responsabiliza de conseguir, gestionar y mantener todos los ordenadores, elementos de hardware y software, servicios de Internet y demás equipos y/o servicios que puedan ser necesarios para el uso por Su parte del Servicio.
2.3 No obstante las demás disposiciones estipuladas en estas Condiciones, y sin perjuicio de las mismas, la red de Internet no constituye un medio seguro y puede sufrir interrupciones y/o ser objeto de vulneraciones (in)voluntarias de la seguridad y la privacidad. En consecuencia, la disponibilidad del Servicio puede verse condicionada por toda una serie de factores que escapan al control del Proveedor del Servicio. Cabe la posibilidad de que el Servicio no sea seguro de manera ininterrumpida, o de que no pueda accederse a él con garantÃas de privacidad en todo momento.
2.4Â Usted se compromete a abstenerse de:
(a) licenciar, sublicenciar, vender, revender, alquilar, arrendar, transmitir, ceder, distribuir, compartir o explotar comercialmente o poner el Servicio a disposición de terceros en otras circunstancias, salvo en el marco de la consecución de sus objetivos comerciales internos según se autoricen expresamente en estas Condiciones. A los efectos de las presentes Condiciones, no se considerará válida ninguna licencia, sublicencia, venta, reventa, alquiler, arrendamiento, transmisión, cesión, distribución, uso compartido ni cualquier otra modalidad de explotación que no haya sido expresamente autorizada por el Proveedor del Servicio en virtud de instrumento escrito formalizado con anterioridad a la explotación en cuestión;
(b) utilizar el Servicio para tratar datos por cuenta de terceros que no sean transportistas marÃtimos;
(c) modificar, adaptar o piratear el Servicio, o tratar de otro modo de acceder al Servicio o a sistemas o redes relacionados sin la correspondiente autorización;
(d) insinuar de manera infundada que existe una relación de patrocinio o asociación con el Proveedor del Servicio,
(e) utilizar el Servicio de manera ilegal, con inclusión, a tÃtulo enunciativo, de cualquier vulneración de derechos a la privacidad de las personas;
(f) utilizar el Servicio para enviar correo basura no solicitado ni autorizado, correo no deseado, estafas piramidales u otras modalidades de duplicación o envÃo de mensajes no solicitados;
(g) utilizar el Servicio para almacenar o transmitir archivos, materiales, datos, textos, audios, vÃdeos, imágenes u otros contenidos que vulneren los derechos de propiedad intelectual de cualquier tercero;
(h) utilizar el Servicio de cualquier manera que suponga una interferencia u obstáculo para la integridad o el funcionamiento del Servicio y sus componentes;
(i) utilizar el Servicio para transmitir, cargar, enlazar, enviar o almacenar virus, malware, caballos troyanos, bombas de tiempo o cualquier otro software dañino de carácter similar («Software malicioso»);
(j) utilizar o tratar de utilizar el Servicio en vulneración de las presentes Condiciones;
(k) tratar de descifrar, descompilar o descubrir, aplicando ingenierÃa inversa o de cualquier otro modo, el código fuente de cualquier software que forme parte del Servicio; y/o
(l) utilizar el Servicio para almacenar o transmitir «información sanitaria protegida» en el sentido que se atribuye a este término (protected health information) en la Parte 160.103 del TÃtulo 45 del Código de Reglamentos Federales de los Estados Unidos (U.S. 45 C.F.R. 160.103).
2.5 El Suscriptor se responsabiliza de que todos los Usuarios se ajusten a las disposiciones de las presentes Condiciones, asà como de toda la actividad que pueda llevarse a cabo en su Cuenta, y de todos Sus datos. Sin que ello suponga limitación alguna de lo anterior, Usted es el único responsable de garantizar que el uso del Servicio para almacenar y transmitir Sus datos se ajusta a las leyes y reglamentos aplicables. Asimismo, asume toda la responsabilidad asociada a la determinación de si el Servicio o la información generada por el mismo son precisos o suficientes para Sus fines. Tan solo podrán utilizar el Servicio el número especificado de Usuarios personas fÃsicas que haya sido autorizado en relación con su Cuenta relativa al Servicio. Usted acepta y reconoce que será identificado con un nombre de usuario y una contraseña únicos (los «Datos de inicio de sesión»), y que estos Datos de inicio de sesión tan solo podrán ser utilizados por Usted, debiendo asignarse un nombre de usuario y una contraseña únicos diferentes a cada uno de los Usuarios que Usted pueda autorizar a utilizar Su Cuenta. Tanto Usted como los Usuarios se responsabilizan de mantener en la más estricta confidencialidad todos los Datos de inicio de sesión asociados a Su Cuenta. Usted deberá mantener al Proveedor del Servicio plenamente indemne en relación con cualquier demanda, reclamación de tercero o uso no autorizado de Sus Datos de inicio de sesión o Su Cuenta, asà como de cualesquier daños y perjuicios que puedan ocasionarse como resultado de dicha demanda, reclamación de tercero o uso no autorizado. Asimismo, en el supuesto de que se Le autorice de manera expresa a explotar comercialmente el Software o el Servicio, Usted deberá asumir todos los daños y perjuicios que puedan derivarse de dicha explotación, debiendo mantener al Proveedor del Servicio plenamente indemne en relación con los mismos.
2.6 Con carácter adicional a los derechos estipulados en la cláusula 7, el Proveedor del Servicio se reserva el derecho, que podrá ejercer a su mero arbitrio, dentro de lo razonable, de suspender temporalmente el uso por Su parte del Servicio:
(a) durante cualquier periodo de inactividad programado para introducir Actualizaciones y mejoras o realizar labores de mantenimiento en el Servicio, entendiéndose que el Proveedor del Servicio hará todo lo que esté en su mano, dentro de lo comercialmente razonable, para notificarle de estos periodos por anticipado (los «Periodos de inactividad programados»);
(b) durante cualquier indisponibilidad provocada por circunstancias que escapen a Nuestro control razonable, como por ejemplo, a tÃtulo enunciativo, actos fortuitos, acciones gubernamentales, actos terroristas o desórdenes civiles, fallos técnicos que escapen a Nuestro control razonable (incluida, a tÃtulo enunciativo, la incapacidad de acceder a Internet), o acciones realizadas por terceros, como por ejemplo, a tÃtulo meramente ilustrativo, ataques distribuidos de denegación de servicio; o
(c)Â en caso de que sospechemos o detectemos la presencia de Software malicioso vinculado a Su Cuenta o al uso por Su parte del Servicio.
- PROTECCIÃN DE DATOS Y CONFIDENCIALIDAD
3.1 Se considerará «Información confidencial» toda la información que Usted comunique al Proveedor del Servicio, o que este Le comunique a Usted, que esté en un formato tangible y sea identificada como «confidencial» (u otra mención similar), o que toda persona razonable comprenderÃa que es confidencial a la luz de la naturaleza de la información y el contexto de comunicación. A los efectos de las presentes Condiciones, se considerará que Sus datos constituyen Información confidencial. No obstante lo anterior, no se considerará Información confidencial ninguna información que: (a) la parte receptora conociese ya en el momento de comunicarla la parte comunicante; (b) fuese o sea obtenida por la parte receptora de manos de un tercero con sujeción a un compromiso de confidencialidad en relación con dicha información; (c) sea o pase a ser de dominio público sin concurrir una vulneración de las presentes Condiciones; o (d) fuese o sea desarrollada de manera independiente por la parte receptora sin utilizar Información confidencial de la parte comunicante.
3.2 Sin perjuicio de las excepciones autorizadas de manera expresa en estas Condiciones, el Suscriptor y el Proveedor del Servicio deberán proteger la Información confidencial del otro ante cualquier uso, acceso o comunicación no autorizados en condiciones idénticas a las que rijan la protección de su propia Información confidencial, y en todo caso ejerciendo un grado de diligencia que sea razonable. Salvo que se autorice de manera expresa en la presente, la Información confidencial tan solo podrá utilizarse para ejercer los derechos y cumplir las obligaciones dimanantes de estas Condiciones. Nosotros podremos comunicar Su Información confidencial a aquellos de Nuestros empleados, representantes y agentes que necesiten conocerla a tales efectos, entendiéndose que estarán vinculados por un compromiso de confidencialidad y por la obligación de no utilizar indebidamente dicha Información confidencial.
3.3 El Proveedor del Servicio deberá mantener mecanismos de protección que garanticen la seguridad, la confidencialidad y la integridad de Sus datos, dentro de lo comercialmente razonable. Entre dichos mecanismos se incluye el encriptado de Sus datos durante la transmisión, salvo en el caso de determinados Otros servicios que no son compatibles con el encriptado y que Usted puede utilizar, a Su mero arbitrio, mediante un enlace incluido en el Servicio. Se considerará que el cumplimiento por parte del Proveedor del Servicio de las disposiciones de la presente cláusula 3.3 conlleva el cumplimiento de Nuestras obligaciones de proteger Sus datos según se estipulan en la cláusula 3.2.
3.4 Tanto el Proveedor del Servicio como Nuestros respectivos proveedores de servicios podrán acceder a Su Cuenta y utilizar, modificar, reproducir, distribuir, visualizar y comunicar Sus datos únicamente en la medida en que ello sea necesario para prestar el Servicio, lo que incluye, a tÃtulo enunciativo, la respuesta a las solicitudes de soporte que Usted pueda hacernos llegar. Los proveedores de servicios terceros que podamos utilizar tan solo tendrán acceso a Su Cuenta y Sus datos en la medida en que ello sea necesario, dentro de lo razonable, para prestar el Servicio, y estarán sujetos a compromisos de confidencialidad. El Proveedor del Servicio podrá asimismo acceder a información concerniente a Usted o Su Cuenta, incluidos Sus datos, o comunicarla, al objeto de (a) respetar las leyes y reglamentos aplicables, dar respuesta a requerimientos legales o cumplir obligaciones judiciales; y (b) proteger los derechos o la propiedad del Proveedor del Servicio o sus clientes o socios, incluida la ejecución forzosa de las presentes Condiciones o de otras polÃticas vinculadas al Servicio. No obstante lo anterior, el Suscriptor otorga por la presente al Proveedor del Servicio y sus filiales un derecho y licencia no exclusivos, a perpetuidad, irrevocables y mundiales para desidentificar, agregar y anonimizar Sus datos derivados de la explotación y uso de los Servicios, en todo o en parte, incorporarlos en otras obras de cualquier forma, en cualquier soporte y con cualquier tecnologÃa (las «EstadÃsticas») en el marco de la consecución de los fines comerciales del Proveedor del Servicio, y ponerlos a disposición de otras personas, siempre que el Proveedor del Servicio no revele la identidad del Suscriptor ni de sus Usuarios. Entre las EstadÃsticas podrán incluirse, por ejemplo, los volúmenes de transacciones y de ingresos. Las EstadÃsticas no incluirán en ningún caso datos personales.
3.5 Recabamos determinada información acerca de Usted, de Sus dispositivos y ordenadores, y del uso que realiza del Servicio. Utilizamos, comunicamos y protegemos esta información de acuerdo con lo previsto en Nuestra PolÃtica de privacidad, que puede consultarse en: https://www.e2open.com/privacy-policy, y que se considera incorporada en las Condiciones.
3.6 A partir de la fecha de entrada en vigor del contrato entre Usted y el Proveedor del Servicio, este tendrá derecho a referirse a Usted como Nuestro cliente en sus comunicaciones comerciales y mercadotécnicas, documentación y listas de clientes, asà como en el Sitio, y a utilizarlo como referencia de ventas.
3.7 Usted tendrá derecho a publicar publicaciones, ya sea en papel o en un sitio web, blog, foro o cualquier otro medio, en las que mencione o se extienda sobre el Proveedor del Servicio, el contrato u otras circunstancias relacionadas con su colaboración con el Proveedor del Servicio. Este derecho está limitado por el derecho del Proveedor del Servicio a prohibir toda publicación adicional en caso de realizarse un ejercicio abusivo del derecho de publicación. Se consideran ejercicios abusivos del derecho, a tÃtulo enunciativo, la realización de afirmaciones falsas, la difusión de noticias falsas, la difamación, la publicidad negativa o las comunicaciones engañosas o equÃvocas entendidas en un sentido tan amplio como sea posible, y en general cualesquiera comunicaciones que puedan dañar o afectar negativamente al nombre, la reputación y la opinión global sobre el Proveedor del Servicio. El derecho del Proveedor del Servicio a prohibir toda publicación adicional no redundará en perjuicio de cualquier otro medio de reparación de que pueda disponer por vÃa de Derecho o equidad.
- DERECHOS DE PROPIEDAD INTELECTUAL
4.1 Cada una de las partes conservará todos los derechos, tÃtulos e intereses en y sobre sus respectivas patentes, invenciones, derechos de autor, marcas comerciales, nombres de dominio, secretos comerciales, know-how y cualquier otra propiedad intelectual y/o derechos de propiedad (en su conjunto, los «Derechos de propiedad intelectual»). Los derechos limitados de uso del Servicio que se Le otorgan en virtud de las presentes Condiciones no conllevan ningún derecho adicional sobre el Servicio ni sobre ningún Derecho de propiedad intelectual asociado al mismo. Con sujeción únicamente a los derechos limitados de uso del Servicio estipulados de manera expresa en la presente, todos los derechos, tÃtulos e intereses en y sobre el Servicio y todo el hardware, software y demás componentes del Servicio, o utilizados para prestarlo, incluidos todos los Derechos de propiedad intelectual relacionados, constituirán en todo momento la propiedad del Proveedor del Servicio y sus filiales. El Proveedor del Servicio y sus filiales gozarán de una licencia exenta del pago de regalÃas, mundial, transmisible, sublicenciable, irrevocable y a perpetuidad para incorporar al Servicio o utilizar de otro modo cualesquiera sugerencias, solicitudes de mejora, recomendaciones u otro feedback que Usted pueda hacernos llegar. Tanto la denominación del Proveedor del Servicio como sus productos y nombres de servicios, asà como los logotipos utilizados o mostrados en el Servicio, constituyen marcas registradas o no registradas del Proveedor del Servicio o sus filiales (de forma colectiva, las «Marcas»), y Usted tan solo podrá utilizar dichas Marcas para identificarse como Usuario, entendiéndose que no deberá tratar, ni en el presente ni en el futuro, de reclamar derechos sobre las Marcas, deteriorar su carácter distintivo ni utilizarlas para desprestigiar o presentar una imagen equÃvoca del Proveedor del Servicio (o sus filiales) o de sus servicios o productos.
- SERVICIOS TERCEROS
5.1 En el supuesto de que Usted active o utilice Otros servicios, dicho uso se regirá exclusivamente por los términos y condiciones relativos a esos Otros servicios. Bajo ningún concepto respaldamos, aceptamos ni realizamos manifestaciones concernientes a ningún aspecto de dichos Otros servicios, ni asumimos responsabilidad alguna en relación con los mismos, lo que incluye, a tÃtulo enunciativo, su contenido o las modalidades de gestión de datos (incluidos Sus datos) aplicadas, o cualquier interacción entre Usted y el proveedor de dichos Otros servicios. Usted renuncia con carácter irrevocable a formular cualquier reclamación contra el Proveedor del Servicio relacionada con dichos Otros servicios. El Proveedor del Servicio no se responsabilizará de los daños o pérdidas que puedan ocasionarse, de manera efectiva o presunta, debido a, o en relación con, la activación o uso por Su parte de dichos Otros servicios, o la aceptación por Su parte de las prácticas en materia de privacidad, los procesos de seguridad de datos u otras polÃticas asociadas a dichos Otros servicios.
5.2 Cabe la posibilidad de que, en los sitios web correspondientes a dichos Otros servicios, se Le pida que se registre o que inicie sesión. Al activar Otros servicios, Usted autoriza expresamente al Proveedor del Servicio a comunicar Sus Datos de inicio de sesión y algunos otros de Sus datos según sea necesario para posibilitar el uso o activación de dicho Otro servicio.
- FACTURACIÃN Y PAGOS
6.1 Registro gratuito en el Servicio. El Servicio se utiliza según un sistema de pago por uso (PPU, según las siglas en inglés de Pay Per Use). Para utilizar el Servicio, primero debe cargar en Su Cuenta los créditos o vales que se hayan acordado contractualmente, tras lo cual el Proveedor del Servicio emitirá la correspondiente factura; los créditos o vales se irán descontando de Su Cuenta aplicando los cargos que corresponda a medida que se vayan completando los diferentes Servicios. En el momento de registrarse, Usted seleccionará una divisa base de la lista de divisas aceptables. Tanto Su Cuenta como todos los créditos y vales abonados en la misma, asà como los cargos adeudados en ella, estarán denominados en dicha divisa base. El Proveedor del Servicio se reserva el derecho de pedirle que seleccione una divisa base determinada en función de Su uso, o de limitar de otro modo las opciones de divisa base que pueda escoger. Usted se responsabiliza a tÃtulo exclusivo de las comisiones de cambio que puedan ser de aplicación a cualquier pago que abone al Proveedor del Servicio o que reciba del mismo.
6.2 Puede solicitar que le abonemos cualesquier créditos que tenga disponibles, con la condición de que tan solo podrá solicitar un pago de este tipo cada 60 dÃas. Tras solicitar el reembolso, el Proveedor del Servicio apartará los fondos, de modo que Usted ya no podrá acceder a ellos desde Su Cuenta, y a continuación procesará el pago. DeberÃa recibir el pago en un plazo de entre 30 y 60 dÃas tras la solicitud, y ello mediante transferencia bancaria a la cuenta cuyos datos figuren en los registros del Proveedor del Servicio en el momento de la solicitud. La transferencia estará denominada en la divisa base de Su Cuenta y será por el importe solicitado en la fecha de la solicitud, menos la comisión de gestión que se indica a continuación (entendiéndose que todos los cargos se expresan antes de impuestos o del IVA):
(a) para los Suscriptores de los EE. UU. y los Suscriptores de Perú que soliciten un reembolso total como consecuencia del cierre de la Cuenta o del cese de la actividad comercial, una comisión de gestión de 35$;
(b) para los Suscriptores de los EE. UU. y los Suscriptores de Perú que soliciten un reembolso parcial/intermedio, una comisión de gestión de 35$ más una comisión de transacción del 5%;
(c) para los Suscriptores de España y todos los demás Suscriptores radicados fuera de los EE. UU. que soliciten un reembolso total como consecuencia del cierre de la Cuenta o del cese de la actividad comercial, una comisión de gestión de 25â¬; y
(d) para los Suscriptores de España y todos los demás Suscriptores radicados fuera de los EE. UU. que soliciten un reembolso parcial/intermedio, una comisión de gestión de 25⬠más una comisión de transacción del 5%;
En caso necesario, las comisiones de gestión se convertirán a la divisa base aplicando los principios previstos en la cláusula 6.6. Los vales no son reembolsables y caducan a los noventa (90) dÃas de su adquisición.
6.3 Salvo que se indique otra cosa, Nuestras tarifas no incluyen impuestos, tasas, derechos u otras imposiciones gubernamentales de carácter similar, por ejemplo sobre el valor añadido, las ventas o el uso, como tampoco retenciones fiscales imponibles por cualquier órgano competente de ámbito local, estatal, provincial o extranjero (los «Impuestos»). Usted se responsabiliza de liquidar todos los Impuestos, salvo aquellos que sean gravables sobre la renta del Proveedor del Servicio. En caso de considerar que estamos legalmente obligados a ello, Le facturaremos dichos Impuestos, en cuyo caso Usted se compromete a liquidarlos. En lo que respecta a los Suscriptores de la UE y demás Suscriptores radicados fuera de los EE. UU., Nuestras tarifas incluyen el IVA en aquellos casos en que este impuesto deba gravarse.
6.4 . El Proveedor del Servicio hace uso de un intermediario tercero para gestionar los pagos que Usted le abona. Dicho intermediario tan solo estará autorizado a almacenar, conservar y utilizar Sus datos de facturación en la medida estrictamente necesaria para procesar Sus pagos. Ni el Proveedor del Servicio ni el intermediario tercero almacenarán información de pago concerniente a Usted. Usted recibirá una factura del Proveedor del Servicio previa confirmación por parte del intermediario tercero de que se ha recibido efectivamente el pago.
6.5 No obstante la cláusula 6.1, según la cual todo uso de los Servicios requiere el gasto de créditos, en algunos casos podrá presentársele a través del Servicio una oferta por la que, en vez de aplicar un cargo en Su cuenta, el Proveedor del Servicio Le haga llegar un crédito («Transacciones de crédito»). Tan solo podrá participar en Servicios que generen Transacciones de crédito y recibir créditos en el marco de este tipo de transacciones si ha aceptado las condiciones de autofacturación que se estipulan en la cláusula 6.7.
6.6 En caso de que sea necesario un cambio de divisas, el Proveedor del Servicio realizará la conversión aplicando los tipos bancarios aplicables en la fecha de la transacción, más una prima por cambio de divisas que se abonará al Proveedor de Servicios. Todo cambio de divisas se efectuará con gastos a Su cargo y Usted declara que acepta los gastos de conversión ya referidos.
6.7 Cabe la posibilidad de que Usted desee participar en determinadas Transacciones de crédito cuya gestión requiera que tanto Usted como el Proveedor del Servicio acuerden un sistema de autofacturación. La autofacturación es un proceso por el que, para Su comodidad y la del Proveedor del Servicio, este último emite facturas en Su nombre relativas a Transacciones de crédito. Este proceso puede tener consecuencias para Usted en materia de IVA u otros impuestos similares sobre las ventas. Por la presente, Usted acepta los siguientes términos y condiciones de autofacturación:
(a) Como autofacturador, el Proveedor del Servicio: (i) emitirá autofacturas correspondientes a todas las Transacciones de crédito efectuadas por Usted hasta la extinción o resolución de las presentes Condiciones en las que constarán Su nombre, Su dirección y, si la factura está sujeta a IVA, Su código de identificación fiscal o de IVA, asà como cualesquier otros datos que deban figurar en una factura completa con IVA; (ii) pondrá las autofacturas a Su disposición a través del Sitio; y (iii) modificará la autofacturación de manera acorde si Usted nos informa de algún cambio del código de identificación fiscal o de IVA;
(b) Usted: (i) aceptará las facturas generadas en Su nombre por el Proveedor del Servicio hasta la extinción o resolución de las presentes Condiciones; (ii) no generará facturas por las Transacciones de crédito cubiertas por las presentes Condiciones; (iii) cuando el IVA sea aplicable, notificará inmediatamente al Proveedor del Servicio de cualquier modificación de Su código de identificación fiscal o de IVA, de la baja de dicho código, o de la enajenación total o parcial de su actividad comercial; (iv) notificará al Proveedor del Servicio de cualquier discrepancia relacionada con una autofactura en un plazo de 30 dÃas, transcurrido el cual se considerará que Usted ha aceptado la factura en cuestión con carácter irrevocable; y (v) se responsabilizará de todos los costes, reclamaciones, daños y perjuicios y gastos contraÃdos por el Proveedor del Servicio y derivados directa o indirectamente de o en relación con un incumplimiento por Su parte de la presente cláusula 6.7;
(c) Usted garantiza que sus datos de identificación a efectos de IVA son verdaderos y correctos;
(d) Todas las autofacturas incluyen el IVA o cualesquier otros impuestos sobre las ventas que puedan ser de aplicación;
(e) El Proveedor del Servicio podrá externalizar a su mero arbitrio el proceso de autofacturación en un tercero, en cuyo caso Le informará únicamente mediante la publicación de un aviso informativo en el Sitio; y
(f) No obstante cualquier otra disposición del contrato, cualquiera de las partes podrá comunicar estas condiciones de autofacturación a las autoridades tributarias competentes para solicitar dicha comunicación, previo requerimiento de las mismas.
- RESOLUCIÃN
7.1 Tanto Usted como el Proveedor del Servicio podrán rescindir con efectos inmediatos Su Cuenta y Su uso del Servicio mediante el envÃo de una notificación escrita en dicho sentido a la otra parte.
7.2 En caso de que Usted rescinda Su Cuenta, Nos reservamos el derecho de suprimir todos Sus datos en el marco ordinario de nuestra actividad. Una vez suprimidos, Sus datos no pueden recuperarse y el Proveedor del Servicio no se responsabiliza de la pérdida de los datos en caso de que Usted cambie de opinión.
7.3 El Proveedor del Servicio se reserva el derecho de modificar, suspender o rescindir (i) el Servicio (o una parte del mismo), (ii) Su Cuenta, o (iii) Sus derechos de uso del Servicio, en el supuesto de que:
(a) consideremos que Usted ha vulnerado las presentes Condiciones o cualquier otra obligación entre las partes;
(b) asà lo solicite o exija alguna administración pública;
(c) surja algún problema o incidente técnico o de seguridad de carácter imprevisto;
(d) Usted participe en actividades fraudulentas o ilegales o incumpla la cláusula 15 de manera efectiva o presunta;
(e) Usted se haya declarado en quiebra, haya sido citado ante un tribunal en el marco de un procedimiento concursal, haya dejado de disponer con libertad de Su patrimonio personal o haya interpuesto recurso de apelación al amparo del Libro XX del Código belga de Derecho Económico (u otro procedimiento equivalente en Su jurisdicción legal).
El Proveedor del Servicio implementará dicha modificación, suspensión o rescisión a su mero arbitrio.
7.4 En cualquiera de los supuestos previstos en la cláusula 7.3, nos reservamos el derecho de suprimir, desactivar y/o eliminar cualquiera de Sus datos a Nuestro mero arbitrio.
7.5 A menos que se lo impida un imperativo legal, el Proveedor del Servicio hará todo lo que esté en su mano, dentro de lo comercialmente razonable, para ponerse en contacto directamente con Usted por correo electrónico y notificarle de la adopción de cualquiera de las medidas ya referidas. Cuando ello sea necesario desde una perspectiva comercial y resulte razonable, en dicha notificación se hará constar el motivo por el que se han adoptado las medidas. El Proveedor del Servicio no se responsabilizará ante Usted ni ante ningún otro tercero de los daños y perjuicios que puedan derivarse o emanar de dicha modificación, suspensión o rescisión de Su Cuenta y/o del uso del Servicio, o de la supresión o desactivación de Sus datos.
7.6Â Informaremos a Nuestro mero arbitrio a las fuerzas o cuerpos de seguridad de cualquier actividad fraudulenta, abusiva o ilegal que Usted pueda estar llevando a cabo presuntamente.
- EXCLUSIÃN DE GARANTÃAS
8.1 No obstante la cláusula 2, el Servicio, incluidos todos los componentes de servidor y de red, se presta «tal cual» y «según esté disponible», sin garantÃas de ningún tipo en una medida tan amplia como sea posible con arreglo a Derecho. El Proveedor del Servicio excluye de manera expresa todas las garantÃas de carácter expreso o tácito, con inclusión, a tÃtulo enunciativo, de cualesquiera garantÃas implÃcitas de comerciabilidad, propiedad, idoneidad para un objeto especÃfico y no vulneración. El Proveedor del Servicio no garantiza que el Servicio vaya a funcionar de manera ininterrumpida, que vaya a ser puntual y seguro, ni que vaya a estar libre de errores, virus u otro Software malicioso. Ninguna información o asesoramiento que Usted pueda recibir de manos del Proveedor del Servicio o a través del Servicio serán constitutivos de garantÃa alguna.
- LIMITACIÃN DE RESPONSABILIDAD
9.1 El Proveedor del Servicio es un intermediario que facilita el Servicio y bajo ningún concepto puede responsabilizarse de los daños y perjuicios (con inclusión, a tÃtulo enunciativo, de los costes adicionales) que puedan derivarse del uso de los servicios prestados al Suscriptor por los transportistas marÃtimos asociados. El Proveedor del Servicio no asume responsabilidad alguna por daños y perjuicios, con inclusión, a tÃtulo enunciativo, de los daños ocasionados a contenedores, el transporte a una dirección equivocada, o los costes que deban cubrirse en concepto de despacho aduanero.
9.2 Ni Nosotros ni Nuestras filiales, directivos, administradores, proveedores o licenciantes asumiremos ante Usted ni ante ningún tercero, bajo ninguna circunstancia ni en virtud de ninguna doctrina jurÃdica (responsabilidad contractual o extracontractual, negligencia u otra), responsabilidad alguna por las pérdidas o daños derivados o dimanantes de una negligencia ni de las acciones u omisiones de Nuestros agentes o empleados. Esto incluye (a tÃtulo enunciativo) los daños y perjuicios de carácter directo, indirecto, accesorio, especial, emergente u otros similares, como por ejemplo el lucro cesante, la pérdida de ventas o negocios, la pérdida de datos, la interrupción de la actividad comercial o cualquier otra pérdida contraÃda por el Usuario o cualquier tercero en relación con las presentes Condiciones o el Servicio, y ello con independencia de que dicha parte haya sido avisada de la posibilidad de dichos daños o de que pudiese haberlos previsto.
9.3 No obstante cualquier disposición en sentido contrario prevista en la presente, la responsabilidad total del Proveedor del Servicio ante Usted o cualquier tercero derivada de las presentes Condiciones o relacionada de otro modo con cualquier suscripción al Servicio o uso o empleo del mismo, no podrá superar bajo ningún concepto las tarifas de PPU abonadas por Usted durante el periodo de un (1) mes anterior al primer acontecimiento o incidencia que generase la responsabilidad. El objetivo esencial de la presente cláusula 9.3 es distribuir los riesgos entre las partes y, a la hora de decidir si ofrecerle los derechos de uso del Servicio al precio ofertado, el Proveedor del Servicio ha tenido en cuenta estas limitaciones.
9.4 En el supuesto de que la exclusión de toda garantÃa tácita o la limitación de la responsabilidad por daños y perjuicios de carácter accesorio o emergente no sean permisibles, la responsabilidad del Proveedor del Servicio deberá limitarse en una medida tan amplia como sea posible con arreglo a Derecho.
9.5 Cualquier motivo de reclamación o acción judicial derivado de o en relación con el uso por Su parte de los Servicios o las presentes Condiciones deberá formularse en el plazo de un año a contar desde el momento de su surgimiento. Usted renuncia de forma expresa a cualquier derecho que pueda asistirle en virtud de cualquier ley o disposición legislativa en relación con las reclamaciones no formuladas en el citado plazo de un mes.
- CLÃUSULA DE INDEMNIZACIÃN
10.1 Usted deberá indemnizar, defender y mantener al Proveedor del Servicio indemne en relación con cualquier reclamación formulada contra este por un tercero como consecuencia de o en relación con (i) el incumplimiento por Su parte de las presentes Condiciones; (ii) el uso por Su parte de los Servicios; y/o (iii) cuestiones de las que Usted se haya responsabilizado con arreglo a las presentes Condiciones. El Proveedor del Servicio le notificará de cualquier reclamación de estas caracterÃsticas con un periodo de preaviso razonable. Usted deberá permitir al Proveedor del Servicio colaborar estrechamente en Su defensa contra dichas reclamaciones y deberá mantenerle informado de cualquier novedad sustancial en relación con las mismas.
- CESIÃN Y REVISIONES
11.1 Usted no podrá ceder ni transmitir de otro modo ningún derecho o licencia dimanante de las presentes Condiciones sin el consentimiento previo y por escrito del Proveedor del Servicio, salvo de acuerdo con lo estipulado de manera expresa en la presente. Previa notificación escrita al Proveedor del Servicio, Usted podrá ceder o transmitir de otro modo las presentes Condiciones a cualquier filial que lo controle a Usted, sea controlada por Usted o esté sujeta a un control conjunto con Usted, o bien a la entidad resultante de una fusión, adquisición o reorganización de la totalidad o la práctica totalidad de Sus activos o acciones, siempre que el Proveedor del Servicio no considere a dicha entidad su competidora directa y que esta se vincule en virtud de instrumento escrito a las presentes Condiciones. Sin perjuicio de lo anterior, las presentes Condiciones serán vinculantes para los sucesores y cesionarios tanto de Usted como del Proveedor del Servicio. Nosotros podremos ceder Nuestro contrato con Usted sin Su consentimiento, siempre que el cesionario o sucesor en cuestión se comprometa a cumplir sus obligaciones con arreglo a las presentes Condiciones.
11.2 En caso de que modifiquemos las presentes Condiciones, la versión modificada sustituirá a todas las versiones anteriores. Le notificaremos de cualquier modificación de este tipo mediante la publicación del correspondiente aviso en el Sitio y/o por correo electrónico. En caso de que Usted siga utilizando el Servicio con posterioridad a la fecha de entrada en vigor de cualquiera de estas modificaciones, el Proveedor del Servicio considerará que ha dado Su consentimiento al respecto.
- NULIDAD PARCIAL E INDEPENDENCIA DE LAS CLÃUSULAS
12.1 Las partes están convencidas de que todas las cláusulas y disposiciones de las presentes Condiciones son válidas y tienen fuerza vinculante desde una perspectiva jurÃdica en todos sus sentidos. No obstante, en el supuesto de que alguna de las cláusulas de las presentes Condiciones sea nula o inválida, la invalidez o nulidad de dicha cláusula no afectará a la validez del resto de disposiciones de las Condiciones.
12.2 Las cláusulas que adolezcan de nulidad o invalidez parcial seguirán gozando de fuerza vinculante en lo que respecta a la porción de las mismas que sea legal. Ambas partes se comprometen a sustituir dichas cláusulas por otras que hagan justicia, en una medida tan amplia como sea posible, al acuerdo original entre las partes.
- SUPERVIVENCIA DE DISPOSICIONES A LA RESOLUCIÃN
13.1 Las cláusulas 2, 3, 4, 9, 10 y 11 sobrevivirán a la eventual resolución de las presentes Condiciones. Dicha resolución no limitará la responsabilidad imputable a Usted o al Proveedor del Servicio por las obligaciones que ya hubiesen devengado en la fecha de resolución, ni por cualquier incumplimiento de las presentes Condiciones.
- NOTIFICACIONES
14.1 Todas las notificaciones que el Proveedor del Servicio deba remitirle a Usted en virtud de las presentes Condiciones deberán formalizarse por escrito y remitirse ya sea (i) por correo a la dirección postal de contacto facilitada por Usted en el eventual Formulario, o (ii) por correo electrónico a la dirección de correo electrónico facilitada en relación con Su Cuenta. Todas las notificaciones que Usted deba remitirnos a Nosotros deberán formalizarse por escrito y remitirse por correo a la dirección postal del Proveedor del Servicio según consta en el encabezamiento de las presentes Condiciones. Se considerará que se ha dado traslado de todas las notificaciones de manera inmediata, cuando se envÃen por correo electrónico, o en un plazo de tres (3) dÃas laborables tras la fecha del sello de correos, cuando se envÃen por correo postal. En el caso de los envÃos internacionales, se considerará que la notificación se ha recibido en un plazo de cinco (5) dÃas laborables tras la fecha del sello de correos.
- LUCHA CONTRA LA CORRUPCIÃN Y CONFORMIDAD
15.1 Usted deberá ajustarse, y garantizar que todas Sus filiales se ajustan, a:
(a) todas las leyes y reglamentos de ámbito nacional o internacional que sean de aplicación a la prestación o uso de los Servicios, incluso en materia de control de las exportaciones, terrorismo, lucha contra el blanqueo de capitales, salud ocupacional e higiene, medio ambiente, salarios, horario laboral y condiciones de contratación, discriminación, protección de datos y privacidad; y
(b) todas las leyes y reglamentos aplicables en materia de lucha contra la corrupción, como por ejemplo, a tÃtulo enunciativo, la Ley estadounidense de Lucha contra la Corrupción en el Extranjero (Foreign Corrupt Practices Act) y la Ley británica de Cohecho de 2010 (Bribery Act).
15.2 Cada una de las partes se compromete y garantiza ante la otra que tanto ella como sus directivos, administradores, socios o accionistas, empleados, agentes y demás intermediarios, asà como cualquier otra persona que actúe de manera directa o indirecta en su representación, se abstendrán, tanto de manera directa como a través de cualquier tercero, de prometer, dar, tratar de dar o aprobar o autorizar la entrega de cualquier objeto de valor a cualquier persona fÃsica o jurÃdica con el fin de:
(a) asegurarse una ventaja indebida que beneficie a la parte en cuestión;
(b) inducir o influir de manera indebida a un funcionario público para que actúe o se abstenga de actuar con vistas a que la parte en cuestión consiga o conserve negocios, o a asegurarse la adjudicación de negocios; y/o
(c) inducir o influir a un funcionario público para que utilice su capacidad de presión sobre un gobierno u organización internacional pública con los fines ya referidos.
- DISPOSICIONES GENERALES
16.1 Las presentes Condiciones constituyen el acuerdo pleno entre las partes en lo que respecta a su objeto contractual, y dejan sin efecto y reemplazan a todos los acuerdos verbales, o las eventuales comunicaciones o manifestaciones escritas, que hayan podido producirse hasta ese momento entre las partes en lo que atañe a dicho objeto.
16.2 El hecho de que una de las partes renuncie a un derecho o a perseguir un incumplimiento de las presentes Condiciones no constituirá una renuncia a cualquier otro derecho o a perseguir cualquier otro incumplimiento en lo sucesivo. Cualquier renuncia a una o varias disposiciones de las presentes Condiciones tan solo gozará de efectos si es formalizada en virtud de instrumento escrito y firmada, y bajo ningún concepto constituirá una renuncia a cualquier otra disposición o disposiciones, ni a la misma en cualquier otro contexto.
16.3 Las partes son contratistas independientes. Las presentes Condiciones no generan ninguna asociación, franquicia, unión temporal de empresas, agencia, fiducia ni relación laboral entre las partes, ni podrá interpretarse en este sentido. Cada una de las partes se compromete a asumir sus propios gastos relacionados con el Servicio.
16.4. Ni el Proveedor del Servicio ni Usted se responsabilizarán ante la otra parte de cualesquiera circunstancias que escapen a su control, como por ejemplo, a tÃtulo enunciativo, la averÃa de una parte de la red eléctrica, fallos de Internet, actos fortuitos, huelgas y otros conflictos laborales, desastres naturales como inundaciones, terremotos, huracanes y epidemias, conflictos bélicos, medidas gubernamentales, acciones terroristas, disturbios, revoluciones, actos de sabotaje u otros acontecimientos de una magnitud o naturaleza tales que no sean habitualmente objeto de previsión en el sector.
16.5. En caso de producirse circunstancias difÃciles que afecten de manera importante a la colaboración entre las partes, estas deberán reconsiderar las presentes Condiciones y sustituir las cláusulas que puedan verse afectadas.
16.6 Las partes han negociado, redactado y suscrito estas Condiciones en lengua inglesa. A pesar de que las Condiciones puedan traducirse a otros idiomas para facilitar su consulta o con cualquier otro fin, se considera que la versión que rige y goza de prioridad es la inglesa.
